Vinilco Service Terms and Conditions
Version 1.0 – Effective as of May 1, 2026
This document sets out the terms and conditions governing the provision of digital content design services for screens, digital menu boards, and audiovisual pieces (the “Services”) offered by Vinilco (“Vinilco,” “we,” “us”) to businesses and professionals who place orders through our online order form and complete payment through our payment providers, primarily Stripe (the “Client,” “you”).
By submitting the order form and completing payment, you agree to be bound by these Terms and Conditions and confirm that you are authorized to enter into this agreement on behalf of your business.
1. Definitions
- Client
- The individual or legal entity that engages Vinilco to provide the Services.
- Order
- The request for Services placed through the online order form, together with the information provided therein and the corresponding payment.
- Subscription Plans
- Plans with recurring monthly payments as described in Section 4, including the USB Starter Plan, USB Growth Plan, Remote Plus Plan, and Vinilco Global Plan in their monthly subscription versions.
- One-Time Payment Plans
- Plans with non-recurring payments as described in Section 4, including the USB Starter Plan, USB Growth Plan, Remote Plus Plan, and Vinilco Global Plan in their one-time payment versions.
- Optional Add-Ons
- Additional services selected in the order form, such as animations, additional videos, voice-over, audio, extra screen orientations, and any other add-ons available at the time of the Order.
- Content
- The designs, final artwork, videos, audio tracks, digital menu boards, and any other creative materials that Vinilco produces for the Client.
- Payment Platform
- The payment processing provider used by Vinilco, currently Stripe or other similar providers Vinilco may use in the future.
2. Purpose of the Services
Vinilco designs and produces visual and audiovisual Content for screens, digital menus, brand videos, and related materials intended to be displayed in the Client’s physical locations or other authorized channels.
Depending on the plan selected, our Services include concept development, design, layout, animation, and preparation of Content ready to be displayed on screens, as well as certain updates, revisions, and support, as described in these Terms and in the order form.
3. Service Models and Plans
3.1 Monthly Subscription Plans
Vinilco offers the following plans as monthly subscriptions:
- USB Starter Plan
- USB Growth Plan
- Remote Plus Plan
- Vinilco Global Plan
General characteristics of subscriptions:
- The monthly fee and any initial setup fee, where applicable, are clearly displayed in the order form and on the Payment Platform checkout page.
- The subscription involves recurring payments automatically processed using the payment method authorized by the Client.
- Each plan may include a minimum commitment period, which will be shown in the order form and in the plan description at the time of purchase.
- Once the applicable minimum period has been fulfilled, the subscription may automatically renew in the manner described in the order form, unless it is canceled in accordance with Section 8.
3.2 One-Time Payment Plans
Vinilco offers the following plans as one-time, non-recurring purchases:
- USB Starter Plan
- USB Growth Plan
- Remote Plus Plan
- Vinilco Global Plan
General characteristics of one-time payments:
- The Client makes a single payment for the amount indicated for the plan and any selected Optional Add-Ons.
- Purchasing the plan entitles the Client to the creation and delivery of the specified Content, as well as the revisions and updates included for that plan.
- For certain one-time plans, there may be an option to renew update or support services for additional periods and at an additional cost, as indicated in the order form or in a subsequent proposal.
4. Scope of Services per Plan
4.1 Deliverables per Plan
Each of the eight plans offered by Vinilco has a specific scope described in the order form. Depending on the selected plan, this scope may include:
- The number of screens or designs included.
- The type of Content to be developed, including static digital menu boards, animated pieces, brand videos, or other related formats.
- The number of versions included per orientation or screen ratio, such as 16:9, 9:16, or others.
- The number of updates or changes included within the purchased service.
If there is any inconsistency between a short description and the more detailed description visible in the order form at the time of purchase, the more specific description in the order form will prevail.
4.2 Subscription Plan Details
USB Starter Plan (subscription): Designed for businesses that want to begin with a simple solution for a single screen. It includes the initial design of a base digital menu board, a limited number of included changes, and recurring service as described at the time of ordering.
USB Growth Plan (subscription): Intended for businesses with a broader offering or those needing several base designs. It includes greater design capacity, more visual elements, and broader coverage than the Starter Plan, according to the configuration displayed during checkout.
Remote Plus Plan (subscription): Intended for clients using internet-connected systems or requiring more continuous content management. It may include more screens, more design variations, higher update frequency, and broader support, as specified in the order form.
Vinilco Global Plan (subscription): Intended for active brands, small groups of locations, or businesses with frequent changes. It may include multiple screens, more extensive update capacity, ongoing support, and a wider service structure.
4.3 One-Time Plan Details
USB Starter Plan (one-time): Includes the design and one-time delivery of a base digital menu board ready to be displayed on the Client’s screen, with no recurring monthly fees.
USB Growth Plan (one-time): Includes several designs or pieces as defined in the plan scope, aimed at businesses with more products or multiple screens, with one-time delivery and no recurring monthly payments.
Remote Plus Plan (one-time): Includes a broader content base and may include an initial period of updates or limited support, as indicated in the order form.
Vinilco Global Plan (one-time): Includes a more robust scope for brands or businesses with multiple screens, promotions, or more complex visual needs, without an initial monthly subscription unless a later renewal or extension is agreed.
4.4 Revisions and Updates
- Each plan includes a defined number of rounds of changes to the initial design, as indicated in the order form.
- Unless stated otherwise, “content updates” mean changes to prices, text, products, images, or similar elements that do not substantially alter the already approved layout and visual structure.
- Requests involving a substantial redesign, a complete change of style, or a major expansion of the project scope may be treated as additional work and invoiced separately.
4.5 Delivery Timeframes
- Estimated delivery timeframes begin once payment has been confirmed and the Client has provided all information, materials, and references reasonably required to start the work.
- Delivery times may vary depending on plan complexity, the amount of material required, the Client’s response speed, and other reasonable operational circumstances.
- Delays caused by missing information, scope changes, delayed approvals, or events outside Vinilco’s reasonable control will not be deemed a breach by Vinilco.
5. Optional Add-Ons
Optional Add-Ons offered by Vinilco may include, among others, additional animations, brand videos, campaign videos, voice-overs, background-music audio, additional screen orientations, or related extra pieces.
The availability, pricing, and nature of each Optional Add-On, whether one-time or recurring, will be shown in the order form. Once selected by the Client, such add-ons become part of the specific Order and are subject to these Terms.
6. Pricing, Payments, and Invoicing
- All prices are displayed in the currency indicated in the order form and on the Payment Platform.
- The prices visible at the time of purchase apply to the specific Order, together with any selected add-ons and any applicable taxes or charges in accordance with applicable law.
- Payments are processed through the Payment Platform. By entering payment details, the Client authorizes Vinilco and the Payment Platform to process the corresponding charges.
- For Subscription Plans, the Client authorizes recurring charges in accordance with the selected plan until the subscription is canceled under these Terms.
- Vinilco may issue reasonable electronic receipts or invoices for administrative and accounting purposes.
7. Content Usage License
- Vinilco retains authorship and all intellectual property rights in and to the Content created, unless expressly agreed otherwise in writing.
- The Client receives a limited, non-exclusive, non-transferable, revocable license to display the Content on its own premises, screens, and internal channels directly related to its business.
- The Client may not sell, sublicense, transfer, distribute to third parties, or otherwise commercially reuse the Content beyond the permitted scope without Vinilco’s prior written consent.
- For Subscription Plans, the license remains in effect while the subscription is active and all payments are current, unless expressly agreed otherwise in writing.
- For One-Time Payment Plans, the license may remain in effect for the Client’s own business on an ongoing basis, provided there is no material breach of these Terms.
8. Term, Renewals, and Cancellations
8.1 Subscriptions
- Each Subscription Plan may have an initial minimum term, which will be clearly shown in the order form.
- During the applicable minimum term, the Client agrees to keep the subscription active and to make all required payments.
- After the minimum term, the subscription may automatically renew in accordance with the commercial configuration applicable to the plan unless the Client cancels it in advance.
- To cancel a subscription after the minimum term, the Client must provide reasonable advance notice before the next billing date using Vinilco’s indicated contact channels.
- Unless mandatory law provides otherwise, payments already processed are non-refundable.
8.2 One-Time Payment Plans
- For One-Time Payment Plans, the Client pays in advance for the full plan and any selected add-ons.
- Once Vinilco has started work on the Order, payments are non-refundable unless otherwise required by law or expressly agreed by Vinilco as a commercial exception.
9. Client Obligations
- Provide accurate, complete, and up-to-date information in the order form.
- Ensure that it holds the necessary rights in any logos, text, trademarks, photographs, images, and other materials supplied to Vinilco.
- Review and approve drafts or proposals within reasonable timeframes to avoid delays.
- Use the Content in compliance with applicable law and these Terms.
The Client will indemnify and hold Vinilco harmless from any third-party claims arising from materials provided by the Client or from instructions that infringe third-party rights or applicable regulations.
10. Limitation of Liability
To the maximum extent permitted by applicable law in the United States:
- Vinilco will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of business opportunities, or business interruption.
- Vinilco does not guarantee any specific commercial outcome or increase in sales resulting from use of the Content.
- Vinilco will not be liable for failures, outages, or technical issues related to hardware, software, players, screens, internet services, digital signage platforms, or other third-party services used by the Client.
- Vinilco’s total aggregate liability in connection with any specific Order will not exceed the amount actually paid by the Client for that Order, unless applicable law imposes a different limit.
11. Support and Communication
- Vinilco will provide reasonable support related to the contracted Services through the contact channels indicated on its website, including email, contact forms, or messaging tools where available.
- Response times are indicative only and may vary depending on the nature of the request, current workload, and the contracted service model.
12. Data Protection
- Vinilco collects and processes the personal and business data provided by the Client for the purposes of managing the Order, delivering the Services, processing payments, issuing receipts, and maintaining the business relationship.
- Data processing is carried out in accordance with Vinilco’s Privacy Policy, available on our website and forming part of these Terms.
- Payment data is processed by the Payment Platform and is not fully stored on Vinilco’s systems, except for the minimum information necessary for reconciliation and Order tracking.
13. Changes to These Terms
- Vinilco may update these Terms when necessary due to legal, operational, commercial, or technical changes.
- Any new version will be published on our website with its effective date.
- For new Orders, the version in force at the time of purchase will apply. For ongoing relationships, Vinilco may notify the Client of material changes, and continued use of the Services may be deemed acceptance of the new version to the extent permitted by applicable law.
14. Governing Law and Jurisdiction
These Terms will be governed by and construed in accordance with the laws of the U.S. state specified in the Order Form, together with applicable federal law of the United States.
Any dispute arising out of or relating to these Terms or the Services will be submitted to the state or federal courts located in the city and state specified in the Order Form, except where mandatory consumer-protection law requires a different forum.
15. Acceptance
By ticking the acceptance checkbox in the order form and completing payment through the Payment Platform, the Client represents that they have read, understood, and accepted these Vinilco Service Terms and Conditions and confirms that they have sufficient authority to accept these terms on behalf of the business they represent.
